SIGNATURE F. SARL TERMS AND CONDITIONS OF SALE (CGV)

Terms and conditions of Signature F. Sarl - Updated February 2024.

Signature F. is a limited liability company based in Sangatte, 62231, 822 rue Rolls and registered in the Boulogne/Mer (62) trade register under number 789 489 325. Here are the general terms and conditions of sale (GTCS).

Access to sales on the website www.signature-f.fr implies unreserved acceptance of the conditions below, and the customer declares that he/she is aware of them and accepts the related rights and obligations.

Article 1 - Opposability of our general sales conditions

Placing an order implies the buyer's full and unreserved acceptance of these terms and conditions.

Our customers' general terms and conditions of purchase cannot be invoked against us.

The fact that the seller does not take advantage at a given moment of any of the present terms and conditions may not be interpreted as a waiver of the right to take advantage at a later date of any of the said conditions.

Article 2 - Agreement on proof

We agree to consider messages on all media (digital, telephone confirmed by e-mail or post) as proof.

However, in the event of a dispute, the evidential value of messages will be as follows, in descending order:

  • Electronic mail bearing an electronic signature meeting the requirements of article 1316-4 paragraph 2 of the French Civil Code.
  • Original signed paper correspondence
  • Unsigned electronic mail

In the event of a dispute over commitments made by telephone, proof of these commitments will result from a confirmation made on one or more of the above media and in the above order of proof.

Article 3 - Order modification and/or cancellation

Any modification or total or partial cancellation of an order is subject to our prior agreement. Depending on the progress made in manufacturing the products, all or part of the order may be invoiced, the amount of which is determined on a case-by-case basis.

Article 4 - Delivery, transport and packaging

Delivery terms

Delivery is made :

  • either by direct handover of the product to the purchaser, or
  • by simple notice of availability,
  • or by delivery to a shipper from the seller's premises.

The purchaser undertakes to take delivery within eight days of the notice of availability.

Once this period has expired, and after unsuccessful reminders, the seller may automatically deliver the goods to the buyer, who will be invoiced for delivery costs.

Furthermore, in the event of a payment incident, the seller reserves the right to suspend the execution of all outstanding orders.

Delivery times

The seller is authorized to make full or partial deliveries.

Delivery times are quoted as accurately as possible, but depend on the seller's ability to procure raw materials (lace) and transport. They may therefore vary, from 8 days to several weeks.

In the case of a Colissimo shipment, the customer is informed of the departure of the shipment by e-mail, with a summary of the products sent and a tracking number so that the progress of the shipment can be followed on the www.coliposte.fr website.

Exceeding the delivery deadline may not give rise to damages, deductions or cancellation of orders in progress.

The following are considered to be cases of force majeure which relieve the seller of his obligation to deliver: civil or foreign war, riots, fire, natural disasters, attacks, strikes, particularly at the seller's premises or those of his suppliers or transport service providers, accidents, and the seller's inability to obtain supplies.

In any event, delivery on time can only be made if the purchaser is up to date with his obligations towards the seller, whatever the cause.

Risks

Without prejudice to the retention of title clause set out below, goods travel at the risk of the consignee, who is responsible, in the event of damage or shortage, for making all necessary observations and confirming his reservations by extrajudicial document or by registered letter with acknowledgement of receipt to the carrier, within three days of receipt of the goods.

 

Transport and packaging

Unless expressly stated otherwise, all our prices are ex works and do not include the cost of transport or packaging. Transport and packaging costs (colissimo) are at the customer's expense.

Article 5 Non-conformity and returns

Any claim relating to the conformity of the products delivered cannot be examined; the manufacture of single models or small series does not allow returns.

All requests for returns cannot be examined after delivery, due to the non-retractation period.

In this case, a sum calculated on a case-by-case basis may be retained to cover the cost of managing the return.

The costs and risks of returning goods are always borne by the purchaser.

Returned goods must be in the condition in which they were delivered by the supplier.

Goods returned will give rise to a credit note to be used against the next purchase, to the exclusion of any reimbursement.

However, in the case of custom orders or small series, no request for return will be considered.

Article 6 - Limits of liability

Signature F. may change the lace pattern (close to the model offered on the site) in the event of stock shortage or in the event of discontinuation of the article by the Leavers lace manufacturers. This modification cannot be a reason for refusal or return of the order by the customer; Products are sold in limited quantities and are offered until sold out.

Article 7 - Prices Prix

Prices include all taxes for each product, as indicated on the product sheet.

They are subject to change at any time, depending in particular on variations in the price of raw materials and lace purchases.

Prices are increased by packaging and postage costs for all postal deliveries (Colissimo) amounting to

11 euros for metropolitan France, for overseas territories and international destinations, postage according to country destination.

All taxes, duties or other charges payable in application of French regulations, or those of an importing or transit country, shall be borne by the purchaser.

Article 8 - Payment

The customer will make his payment in Euros, prior to any delivery

Products will only be delivered once payment has been received.

Delay or default

In the event of late payment in relation to the order date, the seller may suspend all new orders in progress, without prejudice to any other course of action.

Any sum not paid by the due date shown on the invoice will incur penalties equal to the rate applied by the European Central Bank to its most recent refinancing operation, plus 7 points, but not less than one and a half times the legal interest rate. As of January 1,er 2013, in accordance with article D.441-5 of the French Commercial Code, in addition to late payment penalties, the amount of the fixed indemnity for collection costs is set at €40.

These penalties and this fixed indemnity will be payable after formal notice in the form of a registered letter (LRAR) has remained unsuccessful.

Damages and interest

All invoices recovered by the legal department will be subject to a flat-rate penalty of 15%, without prejudice to late payment penalties due under article 8 above.

Discount for early payment

We do not grant any discount for early payment.

ARTICLE 9 - WARRANTIES

Legal warranties

Legal warranty of conformity (article L211-4 et seq. of the French Consumer Code)

As part of the legal guarantee of conformity, if the goods ordered by the customer present a defect in conformity existing at the time of delivery, Signature F., depending on what it is possible to do, undertakes :

either replace the customer's product with an identical one, subject to stock availability,

exchange the product for one of equivalent quality and price, subject to availability,

or refund the price of the product or service ordered within 30 days of the customer's request, if replacement by an identical or equivalent product proves impossible.

ARTICLE 10 - MODIFICATION OF THE GENERAL TERMS AND CONDITIONS OF SALE

Signature F. reserves the right to modify these General Terms and Conditions of Sale.

Any new version of these conditions will be announced on the first page.

ARTICLE 11 - RETENTION OF TITLE

ALL OUR GOODS REMAIN OUR PROPERTY UNTIL FULL PAYMENT HAS BEEN RECEIVED.

The above provisions do not preclude the transfer to the purchaser of the risks of loss or deterioration of the goods subject to retention of title, or of any damage they may cause, upon delivery of the goods.

ARTICLE 12 - JURISDICTION CLAUSE

For any dispute that may arise between the parties concerning the formation, performance or interpretation of the present contract, the Commercial Court of our registered office shall have sole jurisdiction.
